Corporate Representation and Sale of Education Company
We represented a private education corporation dedicated to education reform on all corporate aspects, including contracting, securing intellectual property rights (trademark, tradename, and software), and real estate matters. Ultimately, we represented the business on its sale to a national, not-for-profit agency focused on education reform.
Corporate Representation and Sale of Janitorial Services Company
We represented an SBA 8(a) certified janitorial services company on all corporate matters, including service contracts, litigation, and real estate matters. We also represented the Company in its expansion into wholesale janitorial supplies. The Company, which was one of the largest Black-owned businesses in the United States, was ultimately sold, and we represented the owners on all aspects of the sale.
Corporate Representation of Software Services Company
We represented a Waltham-based an SBA 8(a) software services company—one of the largest Black-owned businesses in the United States—on all corporate matters, including service contracts, litigation, securing intellectual property rights, and real estate matters.
Corporate Representation and Sale of Food Services Company
We provided corporate representation to a preparer and deliverer of fresh meals throughout the Boston area. We represented the Company on all corporate aspects, including contracting, securing intellectual property rights (trademark & tradename), and real estate matters. We ultimately represented the owners on the sale of the business.
Corporate Representation and Sale of Food Services Company
We represented a local restaurateur as he grew his establishment. Our Zoning & Licensing team worked to secure a license to sell alcoholic beverages at the establishment. Our Corporate team secured intellectual property rights (trademark & tradename) and negotiated a co-packing agreement for his widely popular sauces with a national manufacturer. We ultimately represented the owner on the sale of the business.
Corporate Representation of Burger King Franchisee; $6.4m Refinance of Real Estate Holdings
We represented the owner-franchisee of multiple Burger King franchises in the purchase of additional restaurant locations. We also represented the Company on a $6.4 refinance of its restaurant real estate holdings.
Corporate Representation and Sale of Food Services Company
We provided corporate representation to a preparer and distributor or sausages and other cured meats. We represented the Boston-based Company on all corporate aspects, including contracting, securing intellectual property rights (trademark & tradename), and real estate matters. We ultimately represented the owners on the sale of the business.
Corporate Representation of Corporate Security Firm; $4.7m Purchase of Competitor
We provide corporate representation to an SBA 8(a) professional services firm that provides training, online Learning, cybersecurity, and physical security. We represent the Company on all corporate aspects, including contracting, and employment litigation defense. We also represented the Company on its $4.7 million acquisition of a larger competitor.
